Gakken Publishing CO., Ltd. ("Gakken") provides a service for the sale of electronic books that are posted on the Samurai Style website (the "Service") under the terms of the Service (the "Terms ") set forth herein.
The Customer is requested to read the following carefully and make sure that he or she understands the content of the Terms before making a purchase. (Hereinafter Gakken and the Customer might be referred to respectively as a "Party," and might be collectively referred to as the "Parties.")
a. All displayed prices for electronic books include tax.
b. The Customer will be liable for all network connection costs and other communication costs required to download any electronic book.
2. How to Order
a. Click on the "Buy Now" button.
b. Click the "Agree" button at the bottom of the Terms.
c. The Customer will be redirected to the PayPal payment service website. Enter the required information according to instructions on the screen.
d. Upon completion of PayPal procedures, you will be directed to the download page. Click the "Download" button to download the purchased content.
e. An Order Summary will be sent to the Customer's designated e-mail address. It is recommended that the Customer keeps the Order Summary for future reference.
3. Delivery (Download)
a. Once the Customer's payment has been completed through the PayPal procedures described in the preceding Section, you will be directed to the download page. Click the download button to download your electronic book.
4. Confirmation of Operating System Capabilities
a. A PDF reader is required to use the Service.
Electronic books are protected under the copyright laws of Japan and other countries. The reproduction, public performance, public presentation, public transmission, transfer of ownership, public rental or other use of all or part of any electronic book outside of the scope permitted under copyright laws and other laws and regulations without the consent of Gakken is prohibited.
6. Return Policy
Due to the nature of the product (electronic book), Gakken does not accept returns once a product has been purchased.
7. Suspension and Stopping of the Service
a. Gakken may stop or temporarily suspend the provision of the Service without prior notification to the Customer in any of the following cases.
(1) System maintenance
(2) Heavy load on its system
(3) Any instance where it is likely that the provision of the Service might be interrupted
(4) Any instance where security must be established
(5) Any other case where Gakken considers stopping or temporarily suspending the Service to be necessary
b. Gakken will not be liable to the Customer for any damage arising from the suspension or stopping of the Service under Section 7.a.
8. Personal Information
a. GAKKEN DISCLAIMS ALL EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE CONTENT OF THE ELECTRONIC BOOKS PROVIDED THROUGH THE SERVICE, INCLUDING BUT NOT LIMITED TO ANY REPRESENTATIONS OR WARRANTIES OF TRUTH, ACCURACY, USEFULNESS, COMPLETENESS OR FITNESS FOR PARTICULAR PURPOSE.
b. Gakken will not be liable to the Customer for damage arising from any loss of data, interruption or delay due to a fault in a communication network or computer etc. or any other reason for which Gakken is not responsible.
c. Gakken will be liable to the Customer for damage arising out of any reason for which Gakken is responsible. Gakken's liability is limited to the Customer's purchase amount for the content provided through the Service. Gakken will not be liable for any special damages, indirect damages, damages arising from force majeure or lost profits. However, the limitation of liability set forth in this Section does not apply if any damage incurred by the Customer is caused by gross negligence or willful misconduct on the part of Gakken.
10. Governing Law
The formation, validity, construction and performance of the agreement (the "Agreement") between Gakken and the Customer based on the Terms are governed by and construed in accordance with the laws of Japan.
11. Dispute Resolution
The Parties shall submit any dispute, controversy or claim between the Parties arising out of or in connection with the Agreement, or any breach, termination or invalidity thereof, to the Japan Commercial Arbitration Association ("JCAA") for arbitration, which shall be conducted in accordance with the Commercial Arbitration Rules of JCAA in effect at the time of applying for that arbitration, except for any application for provisional or interim relief or any other order for the preservation of the other Party's property or evidence, which may be made to the courts of the country where assets or evidence against which such relief is applied are located. The arbitration proceedings shall be conducted in Japanese in Tokyo.
